For the purpose of this contract, the recipient indicated on this page shall be referred to as "Buyer," and Adelphi Technology LLC shall be referred to as "Seller." In case of any conflict, the provisions stated on this page will take precedence over those printed below.
This quotation represents the sole terms of this proposal, and any prior conversations, agreements, or representations in conflict with these terms are not binding upon Seller. No modifications, additions, or waivers of the terms and conditions hereof will be effective unless agreed upon in writing by the Seller
The payment terms shall be established within the framework of the contract between the Buyer and the Seller. The specific terms and conditions of payment, including the payment methods, due dates, and any applicable fees or penalties, will be mutually agreed upon by both parties and documented in the contract.
Shipping and handling charges will be Prepaid and Added to Buyer's Invoice. Buyer may choose to have shipping charged to their own account with a preferred carrier. In cases where specific shipping instructions are not provided with the Buyer's order, Seller reserves the right to choose the means of transportation and route shipment. Seller agrees to deliver goods and services within the specified time and in accordance with the given specifications and prices. Buyer's orders to this quotation are non-cancellable or non-deferrable without indemnification of loss to the Seller.
Any changes to the scope of an order involving a change in cost and/or delivery schedule will be accepted only upon the basis of a duly authorized change order from the Buyer.
The Seller warrants new instruments to be free from defects in workmanship and material under normal use for a period of one year from the date of shipment. The warranty covers both parts and labor, excluding calibration and expendable parts. If the inspection confirms that the product is defective, it will be repaired or replaced at no charge, within the stated limitations, and returned prepaid to any location in the United States. The Seller shall not be liable for any loss or damage caused by improper use or installation of the product. The Buyer agrees to indemnify and save harmless the Seller from any loss or damages arising from the use of this equipment. This warranty is expressly given in lieu of all other warranties, expressed, implied, or statutory. In no event shall Adelphi Technology LLC be liable for any indirect, incidental, special, or consequential damages or any delay in performance. The Buyer acknowledges that no other representatives or individuals are authorized to assume additional obligations or liabilities for Adelphi Technology LLC, beyond what is specified herein.
Any patent, design, pattern, tool, die, jig, fixture, drawing, test equipment, or process furnished by Seller, whether before or during the performance of this quotation, shall remain the property of the Seller. Seller reserves the right to destroy Buyer's drawings, specifications, patterns, and special tools supplied by the Buyer unless otherwise specified.
All returns for credit must be approved in advance by Adelphi Technology LLC. Approval of equipment for return is solely at the discretion of Adelphi Technology LLC. All requests for return/exchange must be made no later than 30 days from the original shipping date from Adelphi Technology LLC.
